Terms & Conditions

These Terms & Conditions ("Terms") govern the services provided by SynergyIQ Solutions, LLC ("SynergyIQ," "we," "us," or "our"), a managed IT services provider based in Richmond, Texas, to its clients ("you" or "Client"). By engaging our services or accepting a quote, estimate, or service agreement, you agree to these Terms.

1.Services

SynergyIQ provides Custom Workflow Automation, Managed IT / MSP services, and IT Support to small businesses and healthcare organizations. The specific scope, deliverables, and service levels are defined in the applicable written service agreement, statement of work, or accepted estimate.

2.Engagement & Scope

• Services are performed under a written service agreement or an accepted quote/estimate.
• Work outside the agreed scope may be billed separately and will be quoted before it begins where practical.
• You agree to provide timely access, information, and cooperation reasonably required for us to perform the services.

3.Payment Terms

• Recurring managed-service plans are billed monthly in advance and charged on the monthly billing date.
• One-time and project work is billed according to the agreed estimate or statement of work.
• Invoices are due upon receipt unless otherwise stated on the invoice or agreement.
• Accepted payment methods include credit/debit card and ACH, processed securely through Zoho Payments.
• Late or failed payments may result in suspension of services until the outstanding balance is resolved. Reinstatement may be subject to a reactivation fee.

4.Cancellation

Recurring service plans may be cancelled for future billing cycles with written notice as specified in your service agreement. Cancellation does not entitle the Client to a refund for the current billing cycle or for services already rendered. See our Refund Policy for details.

5.Client Responsibilities

• Maintain valid licensing for software and systems we are engaged to support.
• Designate a point of contact authorized to approve work and incur charges.
• Maintain appropriate backups and follow security recommendations we provide.

6.Confidentiality & Data

We treat Client information as confidential and use it solely to deliver the agreed services. For healthcare clients, we will execute a Business Associate Agreement (BAA) where applicable and handle protected information in accordance with HIPAA requirements.

7.Limitation of Liability

To the maximum extent permitted by law, SynergyIQ's total liability arising from the services shall not exceed the amount paid by the Client for the services giving rise to the claim during the three (3) months preceding the event. We are not liable for indirect, incidental, or consequential damages.

8.Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in Texas.

9.Changes to These Terms

We may update these Terms from time to time. The most current version will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
